Terms of Service

1. Acceptance

By creating a Pricelyzer account, connecting an Amazon Seller account, or using any part of the Pricelyzer platform (the cockpit, browser extension, Deal Delivery newsletter, or any API), you agree to these Terms of Service ("Terms") and our Privacy Policy. If you are using Pricelyzer on behalf of a business entity, you represent that you have authority to bind that entity to these Terms.

Pricelyzer is a business tool. You must be at least 18 years old and either operate or be employed by an Amazon seller business to use the service.

2. The service

Pricelyzer provides eight sourcing-intelligence tools for Amazon resellers: Scratchpad (single ASIN lookup), Bulk Sourcing (batch ASIN processing), Store Scanner (retailer catalog analysis), Ungate Checker (Amazon eligibility verification), FBM Shipping (shipping cost estimation), Watchlist (ASIN price alerts), Deal Delivery (curated deal newsletter), and the Browser Extension (in-browser price comparison). Features are subject to change. We may add, modify, or discontinue features with reasonable notice.

3. Amazon Selling Partner API — authorization and restrictions

Pricelyzer is a registered Amazon Solution Provider. Certain features require you to authorize Pricelyzer's access to your Amazon Seller Central account via the Amazon Selling Partner API (SP-API).

  • Read-only scope. You grant Pricelyzer OAuth access limited to the SP-API scopes required by the tools you enable (inventory, fee estimation, Buy Shipping rates, catalog data). Pricelyzer will not write to your listings, reprice items, place orders, or access your customer data without an explicit, in-session action by you.
  • Your responsibility. You are responsible for your Amazon Seller account and must ensure that your use of Pricelyzer does not violate Amazon's Selling Partner API Developer Agreement or any Amazon seller policies. Pricelyzer is not responsible for enforcement actions Amazon takes against your selling account.
  • Revoking access. You may revoke Pricelyzer's SP-API access at any time from Seller Central → Apps & Services → Manage Your Apps → Pricelyzer → Disconnect. Revocation does not cancel your Pricelyzer subscription.
  • Independence from Amazon. Pricelyzer is not affiliated with, endorsed by, or sponsored by Amazon.com, Inc. Amazon, Amazon Seller Central, FBA, and related marks are trademarks of Amazon.com, Inc.

4. Fee and pricing data disclaimer

Pricelyzer displays estimated FBA fees, referral fees, Buy Shipping rates, ROI, net profit, and other economic figures. These are estimates only. Amazon may change its fee structures at any time, and carrier rates fluctuate with market conditions. Pricelyzer's calculations are based on SP-API and Keepa data at the time of the query and may not reflect current or future fee schedules.

  • Always verify fees in Seller Central or Seller Revenue Calculator before committing to inventory purchases.
  • Pricelyzer does not guarantee profitability of any sourcing opportunity it surfaces. Sourcing decisions are made at your own commercial risk.
  • Historical pricing and BSR data (sourced from Keepa GmbH) are not predictive of future performance.
  • Buy Shipping rate estimates are obtained via SP-API at query time and may differ from rates available at the time of actual shipment.

Nothing in the Pricelyzer platform constitutes financial, business, tax, or investment advice. Pricelyzer is an information tool, not an advisor.

5. Credits

Certain tools (Scratchpad, Bulk Sourcing, Ungate Checker, Store Scanner) consume credits per query or per processed row, as disclosed in-app before each run. Credits are purchased as part of your subscription plan.

  • Credits are non-transferable and non-refundable once consumed.
  • Unused credits do not roll over between billing periods unless your plan specifically states otherwise.
  • The exact credit cost for a run is shown in the confirmation step before the run begins. You will not be charged credits you did not authorise.
  • Partial runs that are cancelled retain whatever results were produced; credits for completed rows are consumed.

6. Subscription and billing

Trial. Pricelyzer Pro is offered with a 7-day free trial. No charge occurs during the trial period. Your payment method is required at sign-up to activate the trial. On Day 8, if you have not cancelled, your card will be charged $49.99 for the first monthly billing period.

Auto-renewal. Your subscription auto-renews monthly at the then-current plan price. In accordance with California SB-313, New York GBL §527-a, and the FTC's Restore Online Shoppers' Confidence Act (ROSCA), we will:

  • Present material subscription terms clearly before you complete sign-up.
  • Send a reminder email at least 3 days before the first charge following the trial, and at least 15 days before any material price change takes effect.
  • Provide a cancellation mechanism that is no more difficult than the sign-up process (Settings → Billing → Cancel).

All prices are in USD. Pricelyzer reserves the right to change pricing with at least 30 days' advance notice.

6a. EU consumer withdrawal right

If you are a consumer resident in the European Union, the European Economic Area, or the United Kingdom, you have the right under the EU Consumer Rights Directive (2011/83/EU) — and equivalent UK law — to withdraw from this contract within 14 days of subscription start, without giving any reason. To exercise the right of withdrawal, email billing@pricelyzer.appwith subject line "EU 14-day withdrawal" before the 14-day window expires. We will refund any payments made, minus the value of any services already used (calculated on a pro-rata basis from the day of activation). Pricelyzer Pro is a digital service; by starting your trial you acknowledge that performance of the service begins immediately upon sign-up.

7. Cancellation and data export

You may cancel your subscription at any time from Settings → Billing → Cancel or by emailing billing@pricelyzer.app. Cancellation takes effect at the end of your current billing period.

  • Grace period. Following cancellation, your account remains active for 30 days in a read-only export mode. You may download your Bulk Sourcing results, Watchlist exports, and Deal Delivery history in CSV format during this window.
  • Deletion. After the 30-day grace period, your account data (including SP-API tokens, cached data, and usage history) is permanently deleted. Billing records are retained for 7 years as required by law.
  • No refunds. Pricelyzer does not provide refunds for partially used billing periods. Consumed credits are non-refundable.

8. Acceptable use

You must use Pricelyzer in accordance with our Acceptable Use Policy, which is incorporated into these Terms by reference. Key prohibitions include: scraping or reverse-engineering Pricelyzer APIs, reselling or sub-licensing access, violating Amazon or retailer terms, and abusing the affiliate redirect infrastructure.

9. Browser extension

The Pricelyzer Browser Extension may only be used for personal, non-automated sourcing research on supported retailer domains. You may not modify, redistribute, or create derivative works from the extension. You may not use automated scripts, bots, or headless browsers to drive the extension. The extension is provided under a limited license that terminates with your Pricelyzer subscription.

10. Deal Delivery newsletter

Deal Delivery is an email newsletter containing curated Amazon arbitrage opportunities. Subscription requires your affirmative opt-in. We comply with the US CAN-SPAM Act and Canada's CASL. Every email includes an unsubscribe link. Unsubscribes are processed within 10 business days. Deal Delivery content is sourced editorially; opportunities included in Deal Delivery may also be surfaced via our affiliate networks, in which case our Affiliate Disclosure applies.

11. Third-party services and data

Pricelyzer integrates third-party services including Amazon SP-API, Keepa GmbH (historical pricing), Stripe (payments), and the infrastructure sub-processors listed on our Sub-processorspage. Data and features that depend on these services are provided "as is" from the respective third party. Pricelyzer is not responsible for inaccuracies, outages, or policy changes by third-party providers that affect Pricelyzer features.

12. Intellectual property

Pricelyzer and its licensors own all rights in the platform, including UI, code, algorithms, branding, and documentation. You retain all rights in your own seller data. Amazon catalog data accessed via SP-API belongs to Amazon and is subject to Amazon's usage restrictions.

You grant Pricelyzer a limited, non-exclusive license to process your data (including SP-API data you authorize) solely to operate and improve the service. We do not claim ownership of your data.

13. Disclaimer of warranties

The Pricelyzer platform is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, completeness, or uninterrupted access. We do not warrant that fee estimates are accurate, that sourcing opportunities are profitable, or that the service will be error-free.

14. Limitation of liability

To the maximum extent permitted by applicable law, Pricelyzer's total liability to you for any claims arising from your use of the service is capped at the fees you paid to Pricelyzer in the 12 months immediately preceding the claim. Pricelyzer is not liable for any indirect, incidental, consequential, punitive, or special damages, including lost profits, lost inventory value, or business interruption, even if advised of the possibility of such damages.

Some jurisdictions do not allow limitation of implied warranties or consequential damages; in such jurisdictions, these limitations apply to the maximum extent permitted by law.

15. Indemnification

You agree to indemnify, defend, and hold harmless Pricelyzer, Inc. and its officers, directors, employees, and contractors from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the service in violation of these Terms; (b) your violation of any third-party rights including Amazon's Selling Partner API policies; or (c) any false or misleading representations you made in connection with your account.

16. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any dispute that cannot be resolved informally (by emailing legal@pricelyzer.app and allowing 30 days for good-faith resolution) shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with proceedings conducted in English. The arbitration shall be conducted in Delaware or, at your election, by video conference.

Class action waiver. You agree to resolve disputes individually and waive the right to participate in any class, collective, or representative action.

Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction to prevent irreparable harm.

17. Changes to these terms

We may update these Terms at any time. Material changes will be communicated by email and/or in-app notice at least 14 days before taking effect. If you continue using Pricelyzer after the effective date, you accept the revised Terms. If you do not accept the changes, you may cancel your account before the effective date.
